Welcome to FluxEntis. These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and FluxEntis ("we," "us," or "our"), a professional communication coaching service based in Osaka, Japan (Registration Number: 56648166).
By accessing our website at fluxentis.pro, booking our services, or participating in our coaching programs, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our services.
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services after changes are posted constitutes acceptance of the modified Terms.

Services are delivered through one-on-one coaching sessions, small group workshops, and customized training programs. Sessions may be conducted in-person at our Osaka location or virtually via video conferencing platforms.
We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without prior notice, though we will make reasonable efforts to notify active clients of significant changes.

If you are booking services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
Clients may book coaching sessions through our website contact form, email, or phone. All bookings are subject to coach availability and confirmation from FluxEntis.
We offer a complimentary 30-minute initial consultation to discuss your goals and recommend appropriate services. This consultation does not constitute a commitment to purchase services.
Session times will be mutually agreed upon between the client and coach. We will make reasonable efforts to accommodate your preferred schedule, subject to coach availability.
Clients may reschedule sessions with at least 24 hours advance notice without penalty. Rescheduling requests should be made via email or phone. We will work with you to find an alternative time within a reasonable timeframe.
If you arrive late to a session, the session will still end at the scheduled time, and you will be charged for the full session. Sessions cannot be extended beyond the scheduled end time without prior arrangement.

All prices are in Japanese Yen (¥) and include applicable taxes. Prices are subject to change with 30 days notice to existing clients.
Payment is required in advance for single sessions and packages. We accept payment via bank transfer, credit card, or other methods as specified during booking. Payment must be received before the first scheduled session.
Session packages must be used within 6 months of purchase date. Unused sessions expire after this period without refund, except in cases of documented medical emergencies or other exceptional circumstances at our discretion.
Failure to make payment by the due date may result in cancellation of scheduled sessions and potential loss of package benefits.
Clients may cancel scheduled sessions with at least 24 hours advance notice without penalty. Cancellations made with less than 24 hours notice will result in forfeiture of that session (for package clients) or full session fee (for single session clients).
We understand that genuine emergencies occur. In cases of documented medical emergencies or other exceptional circumstances, we may waive cancellation fees at our discretion. Contact us as soon as possible in such situations.
If we must cancel a scheduled session due to coach illness, emergency, or other unforeseen circumstances, we will notify you as soon as possible and work with you to reschedule at no additional cost. If rescheduling is not possible, we will refund the session fee or credit your package account.
Failure to attend a scheduled session without prior notice will result in forfeiture of that session and full charges will apply.

All content, materials, training methodologies, coaching frameworks, handouts, presentations, and other resources provided by FluxEntis are our exclusive intellectual property and protected by copyright, trademark, and other intellectual property laws.
We grant you a limited, non-exclusive, non-transferable license to use materials provided during coaching for your personal development purposes only. You may not:
You retain ownership of any materials, presentations, or content you create. However, by sharing such content during coaching sessions, you grant us a limited license to review and provide feedback on such materials for coaching purposes.
We maintain strict confidentiality regarding all client information, including personal details, coaching content, and progress. Information will not be shared with third parties except:
You agree to maintain confidentiality of our proprietary coaching methods, materials, and business practices.
We may request permission to use your testimonials or success stories for marketing purposes. Such use will only occur with your explicit written consent, and you may specify how you wish to be identified.
FluxEntis provides professional coaching and training services. We do not guarantee specific outcomes such as job offers, promotions, or performance results. Success depends on multiple factors including your effort, practice, circumstances, and external factors beyond our control.
Our services are provided "as is" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
To the maximum extent permitted by law, FluxEntis shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising from:

For disputes not resolved informally, both parties agree to submit to binding arbitration in Osaka, Japan, conducted in accordance with the Commercial Arbitration Rules of the Japan Commercial Arbitration Association. The arbitrator's decision shall be final and binding.

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and FluxEntis regarding our services and supersede all prior agreements and understandings.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect, and the invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.
Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.
You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
We shall not be liable for any failure to perform our obligations due to circumstances beyond our reasonable control, including natural disasters, acts of government, war, terrorism, pandemics, or technical failures.
These Terms are written in English. Any translated versions are provided for convenience only. In case of discrepancies, the English version shall prevail.
